LOAN AGENCY


BPI Asset Management and Trust Corporation, acting as an agent of the lenders, represents the interest of the lenders with respect to the repayment by the borrower under the terms of the loan agreement, among others. Duties of the agent include monitoring the borrower's commitments, maintaining copies of the loan documents, and implementing the instructions of the lenders in accordance with the loan agreement.
 
As an agent or trustee, we serve as the liaison between the syndicate of lenders and the borrower, ensuring that communication lines between the parties is efficient, open and flexible.
 
BPI AMTC offers the following Loan Agency arrangements:
 
Type of Loan Agency Responsibility
Facility Agency Acts as the intermediary of the borrower and the syndicate of lenders to ensure compliance with the terms of the agreement
Paying Agency Facilitates disbursement of funds to and from the stipulated parties
Intercreditor Agency Acts the intermediary of the facility agents and the lenders in the context of the agreement
Security Agency/Accounts_Bank_
Holds instruments representing the security (e.g. Stock Certificates) and other documents that serve as security as provided under the relevant agreement; Facilitates distribution or transfers of funds to and from the project accounts / cash waterfall accounts in accordance with the agreement
